These Terms govern your access to LawPal and set clear expectations for acceptable use, data handling, and liability. LawPal provides decision support for contract review and negotiation, and you should seek professional advice when decisions carry material risk.

These Terms of Service ("Terms") form a legally binding agreement between you ("User" or "you") and LawPal ("LawPal", "we", "our", or "us"). By accessing, registering for, or using any of LawPal's platforms, applications, products, websites, or services (collectively, the "Services"), you agree to these Terms in their entirety. If you do not agree to these Terms, you must not use the Services.

DEFINITIONS

Defines key terms used in these Terms so obligations and rights are interpreted consistently. Clear definitions reduce ambiguity for procurement and internal governance.

For the purposes of these Terms, the following definitions apply:

  • 1.1 "Account" means the registered profile created by a User to access the Services.
  • 1.2 "Agreement" refers to these Terms and any supplemental terms governing use of specific features.
  • 1.3 "Applicable Law" means all statutes, regulations, directives, guidelines, codes, and judicial decisions relevant to the Services.
  • 1.4 "Content" means all data, documents, files, inputs, outputs, text, images, and information processed or produced by the Services.
  • 1.5 "Input" means any contract, agreement, or document uploaded by the User.
  • 1.6 "Output" means the automated analysis, summaries, risk tags, or insights generated by the Services.
  • 1.7 "Privacy Policy" refers to LawPal's privacy statement governing collection and use of personal data.
  • 1.8 "Subscription" means a recurring paid plan under which Users obtain access to the Services.
  • 1.9 "Free Plan" means a limited tier of Service provided without charge, subject to restrictions.
  • 1.10 "Pay-as-you-go Plan" means a fee-per-analysis pricing model.
  • 1.11 "Enterprise Services" means tailored or customised Services provided to institutional clients under separate agreements.
  • 1.12 "API Access" means the programmatic interface provided by LawPal for integration with third-party applications.
  • 1.13 "Beta Features" means experimental features made available for limited testing.
  • 1.14 "Force Majeure" means events outside the reasonable control of LawPal including natural disasters, pandemics, war, or regulatory changes.

2. SCOPE AND PURPOSE

Explains what LawPal provides and the intended use of the service for UK contract review workflows. It also clarifies key limitations so teams do not rely on outputs as legal advice.

2.1 LawPal provides artificial intelligence powered tools designed to assist Users in reviewing, analysing, and managing contracts and related documents.

2.2 The Services are for informational purposes only. They are not intended to replace professional legal advice. LawPal does not act as a solicitor, barrister, or regulated legal advisor. If you need legal advice, consult a solicitor regulated by the SRA (Solicitors Regulation Authority).

2.3 No solicitor-client, fiduciary, or advisory relationship is created through use of the Services.

3. ELIGIBILITY

Sets who can use LawPal and confirms users must have authority to act for their organisation. This reduces unauthorised access and misuse risk.

3.1 Users must be at least 18 years of age and have capacity to enter into contracts.

3.2 Where the Services are used on behalf of an entity, the User represents authority to bind that entity to these Terms.

3.3 LawPal may refuse registration where eligibility requirements are not met.

4. USER COMMITMENTS

Outlines acceptable use, user responsibilities, and restrictions that protect LawPal and customers. It helps teams adopt consistent and compliant contract handling practices.

4.1 Accuracy. You are responsible for ensuring the accuracy of Input.

4.2 You must not use the Services for unlawful or prohibited purposes.

4.3 Prohibited Conduct

Prohibited Conduct includes:

  • (a) Uploading unlawful, infringing, or defamatory documents.
  • (b) Introducing viruses, malicious code, or harmful software.
  • (c) Attempting unauthorised access to accounts or systems.
  • (d) Circumventing security features or rate limits.
  • (e) Using Outputs to make employment, housing, credit, insurance, or legal decisions affecting individuals.
  • (f) Reverse engineering or attempting to extract source code, models, or algorithms.
  • (g) Using Outputs to create competing services.

4.4 You are responsible for all activity carried out through your Account.

5. SERVICE ACCESS

Covers how accounts are created and accessed and how service availability is managed. It sets expectations for updates and operational changes.

5.1 LawPal provides access subject to technical availability, scheduled maintenance, and security updates.

5.2 LawPal does not guarantee continuous or error-free operation.

5.3 Beta Features may be withdrawn at any time.

6. INTELLECTUAL PROPERTY

Clarifies ownership of the platform and the permissions granted to use it. It also protects customers by defining what happens to their content and outputs.

6.1 User Content. Users retain ownership of their Input.

6.2 Outputs. Subject to Applicable Law, Users own the Outputs generated by the Services. Outputs may not be unique and may resemble outputs provided to other Users.

6.3 Service IP. All intellectual property rights in the Services remain vested in LawPal.

6.4 Licence. LawPal grants a non-exclusive, non-transferable, revocable licence to access and use the Services strictly as permitted.

7. PAYMENT TERMS

Explains billing, renewals, and taxes so procurement teams can manage spend predictably. It also sets the consequences of non payment.

7.1 Plans. Services are offered on Free, Pay-as-you-go, and Subscription bases.

7.2 Billing. Users authorise LawPal to charge applicable fees. All payments must be complete, accurate, and valid.

7.3 Refunds. Except where required by law, payments are non-refundable.

7.4 Taxes. Users are responsible for any applicable taxes.

7.5 Price Adjustments. LawPal may revise fees with at least 30 days' notice.

8. TERMINATION AND SUSPENSION

Describes when either party can terminate and when access may be suspended. This protects against misuse and supports safe operations.

8.1 By User. You may terminate your Account at any time.

8.2 By LawPal. We may suspend or terminate Accounts for:

  • (a) Breach of these Terms.
  • (b) Legal or regulatory requirements.
  • (c) Security threats or abusive behaviour.
  • (d) Extended inactivity exceeding 12 months.

8.3 Consequences. Termination results in deletion of access and potential deletion of Content except where retention is required by law.

9. CONTENT MANAGEMENT

Explains responsibilities for uploaded content and how customers should handle sensitive documents. It supports safer, auditable contract review workflows.

9.1 Deletion. Users may delete Content. Some data may persist in backups.

9.2 Monitoring. LawPal may monitor use for compliance, misuse, or security.

9.3 Preservation. Content may be preserved to comply with law, investigations, or enforcement.

10. PRIVACY AND DATA PROTECTION

Links privacy and processing obligations to the Privacy Policy, Security overview, and DPA. It clarifies roles to support UK GDPR compliance during document review.

10.1 LawPal collects, stores, and processes personal data in accordance with its Privacy policy. Where we act as a processor for enterprise customers, a DPA is available at lawpal.co.uk/dpa.

10.2 Data may be processed internationally, including outside the UK and EEA.

10.3 Security measures are implemented but absolute security cannot be guaranteed. See the Security overview.

10.4 Users consent to data processing by using the Services.

10.5 Users are responsible for compliance with data protection obligations in respect of documents uploaded.

11. DISCLAIMERS

Sets realistic expectations for service outputs and limitations, including AI generated analysis. This helps teams decide when to escalate to qualified advisers.

11.1 The Services are provided "as is" without warranties of any kind.

11.2 LawPal disclaims express, implied, and statutory warranties including merchantability, fitness, accuracy, and non-infringement.

11.3 Outputs may be incomplete, outdated, offensive, or inaccurate.

11.4 Users must not rely solely on Outputs for decisions with legal, financial, or regulatory consequences.

12. LIMITATION OF LIABILITY

Defines liability caps and exclusions so risk is measurable. Customers can use this section to decide which matters require human legal review.

12.1 LawPal shall not be liable for indirect, incidental, or consequential damages.

12.2 Aggregate liability is limited to the greater of £100 or amounts paid in the prior 12 months.

12.3 Users accept full responsibility for reliance on Outputs.

13. INDEMNITY

Allocates responsibility for certain claims, typically arising from misuse or unlawful content. This is a standard protection for both parties.

Users agree to indemnify and hold harmless LawPal from all claims, damages, costs, and liabilities arising from:

  • (a) User's use of the Services.
  • (b) Uploaded Content.
  • (c) Breach of these Terms.
  • (d) Violation of law.

14. DISPUTE RESOLUTION

Provides a practical path to resolve disputes efficiently before litigation. Clear steps reduce legal friction.

14.1 Informal Resolution. Parties will attempt good faith negotiations.

14.2 Arbitration. Disputes will be referred to arbitration under LCIA rules.

14.3 Exceptions. Small claims and intellectual property enforcement may proceed in court.

14.4 No Class Actions. Users waive participation in class, consolidated, or representative actions.

15. GOVERNING LAW

Confirms that these Terms are governed by the law of England and Wales. This provides certainty for UK business users.

These Terms are governed by the laws of England and Wales. Jurisdiction lies exclusively with the courts of England and Wales, subject to consumer protection laws.

16. EXPORT AND SANCTIONS

Prohibits use that would breach export controls or sanctions laws. This supports compliance obligations for users and LawPal.

Users must comply with export control, trade laws, and sanctions. Services may not be used by prohibited parties.

17. FORCE MAJEURE

Covers events outside reasonable control and explains how obligations may be paused. It sets expectations for service continuity during disruptions.

LawPal is not liable for failure due to events beyond reasonable control including natural disasters, pandemics, or government action.

18. MISCELLANEOUS

Contains standard contract provisions such as assignment, notices, and severability. These clauses help ensure the agreement remains enforceable.

18.1 Entire Agreement. These Terms are the entire agreement.

18.2 Severability. Invalid terms shall not affect the rest.

18.3 Assignment. Users may not assign rights. LawPal may assign without restriction.

18.4 No Waiver. Failure to enforce is not a waiver.

18.5 Third-Party Rights. These Terms confer no third-party rights.

18.6 Survival. Sections on disclaimers, liability, indemnity, and governing law survive termination.

18.7 Feedback. Feedback may be used without obligation.

19. SUPPLEMENTAL TERMS

Some features may include additional terms that apply alongside these Terms. This keeps add-ons clear and contractually consistent.

19.1 API Access. Users integrating APIs must comply with developer guidelines.

19.2 Enterprise Services. Enterprise accounts are governed by supplemental contracts.

19.3 Developer Tools. SDKs, plugins, and integrations are licensed separately.

19.4 Beta Features. Beta services may be withdrawn and are provided without warranty.

20. UPDATES TO TERMS

Explains how and when Terms may change and how notice is provided. The effective date indicates the current version.

LawPal may revise these Terms. Material changes will be notified with at least 30 days' notice. Continued use constitutes acceptance.

21. CONTACT
